You’ve found a new job, but your current contract says you can’t join a competitor. Does that stop you from moving? A UAE non-compete clause can be enforceable, but an employer cannot use it to block every job change.
The answer depends on your duties, the clause’s wording, how your employment ends, and which UAE employment system covers your job. Check those details before you resign or promise a new employer a start date.
These are federal rules. DIFC, ADGM, and some other employment arrangements need a separate check.
Is a UAE Non-Compete Clause Legal?
Yes, for eligible employees covered by the federal private-sector framework. Check whether the role falls under the MOHRE-regulated system; a MOHRE-registered employment contract may help identify this, but not every UAE employment arrangement uses one.
What Article 10 Allows
Article 10 of Federal Decree-Law No. 33 of 2021 allows a non-compete where an employee’s work gives them access to the employer’s clients or business secrets, including information that may qualify as trade secrets. These post-termination restrictions concern competing work in the same sector after the employment contract ends.
Think about what the person could take into a competing role. A sales manager who knows customer accounts may present a different risk from an employee who never dealt with clients or confidential plans. A job title alone does not settle that question.
Protection Has to Match the Risk
The enforceability of non-compete clauses depends on whether the restriction is necessary to protect legitimate business interests. An employer cannot assume that every worker who leaves will harm the business.
For employees, signing a clause does not make every part of it enforceable. For employers, a standard paragraph copied into every contract may be hard to defend. The duties, information involved, and proposed new role all matter.
What Makes a Non-Compete Valid?
The first document to check is your employment contract. Then compare its wording with the limits in federal law and its Executive Regulation. Non-compete clauses are one type of restrictive covenant, but the terms are not automatically interchangeable.
Time, Place, and Type of Work
Article 12 of Cabinet Resolution No. 1 of 2022 requires the restriction to define the work, duration, and geographical scope. The maximum duration is two years from the end of the contract, but meeting that limit does not automatically make a clause enforceable. The restricted work must also be capable of causing serious harm to the employer’s legitimate interests.
A clause that says “you cannot work for any other company in the UAE” raises clear questions. What competing activity does it cover? Why is such a broad area needed? Does your new job involve the clients or secrets you knew?
The UAE Civil Code, including Articles 909 and 910, also addresses restrictions on competing work. Read those provisions alongside current labour law, rather than relying on an older rule alone. Non-solicitation clauses may be narrower alternatives, but they are not automatically interchangeable with non-compete clauses or enforceable simply because they appear in a contract.
Contract Wording Versus an Offer Letter
Article 10 concerns an agreement in the employment contract. If a restriction appears only in an offer letter, don’t assume it automatically binds you or that it can safely be ignored. Ask for the signed MOHRE-registered employment contract, if you work in MOHRE-regulated federal private-sector employment, and any signed addendum, then compare them with the offer. Registration alone does not determine which jurisdiction applies.
This matters before you leave an existing job. Check the employer’s legal name, governing law, restricted activities, area, and end date. These post-termination restrictions should match the agreed terms. If the final paperwork differs from what you accepted, raise it with HR in writing. A UAE offer letter and contract checklist can help you spot differences before you resign.
When Does the Restriction Not Apply?
A clause may look detailed and still not apply to your exit. Keep the documents showing who ended the contract and why. Garden leave during employment does not, by itself, waive a post-employment restriction.
Employer Termination, Breach, and Probation
Cabinet Resolution No. 1 of 2022 sets out regulatory exceptions, including where termination is at the employer’s initiative or follows the employer’s breach of legal or contractual obligations. A breach of contract may qualify, but the circumstances and supporting evidence matter. The restriction also does not apply when a worker’s contract ends during the probation period.
If you were dismissed, save the dated termination letter and any messages explaining the decision. If you say the employer breached the contract, keep supporting records, such as pay statements and written complaints. Don’t assume a verbal explanation will settle a later dispute.
The probation exemption does not remove other exit duties. If you resign during probation to join another UAE employer, the federal notice rule generally requires one month’s written notice. Check your status before setting a new start date.
Written Waiver and the Three-Month Payment
The parties can agree in writing, when the contract ends, that the non-compete will not apply. Get the release in clear terms and keep a signed copy.
Some call this a salary buyout, but the three-month compensation route requires the former employer’s written consent. The employee or new employer may pay compensation capped at three months’ wage, based on the last contract. You can’t make this payment unilaterally to erase the clause.
Some professional categories may have an exemption under a ministerial decision. Don’t assume your occupation qualifies without checking the applicable decision. If your new employer wants to discuss a waiver, settle who will pay and obtain the former employer’s written agreement before you start competing work.
What Happens If an Employer Claims a Breach?
A warning email about post-termination restrictions can feel like a ban on working. It is a claim, not a court finding. Both sides should review the contract and evidence before taking the next step.
Proving Damage and Claiming Compensation
Under Article 12 of the Executive Regulation, issued under Cabinet Resolution No. 1 of 2022, the employer bears the burden of proving damage in a non-compete dispute. Joining another company, by itself, doesn’t establish harm.
Useful evidence may include the employee’s actual duties, access to client information, and the new role at a competing business. Records may also show actual financial loss or other harm to the business. Employers should preserve lawful business records. Employees should keep their contract and job documents, but shouldn’t download or retain confidential company files to build a defence.
A contract may name an amount for a breach, often called liquidated damages. That sum isn’t automatically payable or guaranteed to be awarded by a court. The clause, evidence, and applicable law still need to be assessed.
The Claim Deadline and Dispute Route
Article 10 says a claim about a non-compete violation won’t be heard after one year from discovering the violation. This is a discovery-based deadline, not simply one year from the employee’s last working day.
Other employment claims may have different limitation rules. If a dispute is developing, get advice promptly rather than assuming one deadline covers every issue. For MOHRE-covered employment, parties can seek help through the labour-dispute process. Unresolved matters may go to court, where a party may seek injunctive relief if available, but it isn’t automatic. Availability, procedure, and the complaint route depend on the employer’s jurisdiction.
Mainland, Free Zones, DIFC, and ADGM: Check Your Jurisdiction
A Dubai office address or MOHRE registration alone doesn’t establish which rules govern your contract. Check the legal employer, trade licence, work permit issuer, relevant authority, and governing documents, including a MOHRE-registered employment contract if applicable.
Many private-sector jobs across the seven emirates fall under federal labour law. Other free zones may have their own employment rules and dispute procedures. DIFC and ADGM have separate employment laws and courts, so don’t apply the mainland Article 10 checklist without checking the rules for your jurisdiction.
Government roles, domestic work, and other separately regulated jobs need a different check. For mainland employment disputes, follow the applicable MOHRE process and any referral to Dubai courts; DIFC, ADGM, and other free zones may have different routes. If you’re unsure which authority handles your contract, confirm before filing a complaint. The differences between free zone and mainland jobs are especially useful to review before a move.
Practical Steps Before a Job Change or Dispute
A careful job change is easier than trying to fix a rushed one. The records you keep now may matter months later.
If You Are an Employee
Read the full clause against your actual job, not only your title. Mark the restricted activity, location, and end date. Ask whether you had access to the clients or business secrets the employer says it needs to protect.
Before accepting another role, give the new employer an accurate account of any restriction. You can describe the wording without sharing confidential files. Follow the applicable notice and work permit process, and ask for a written waiver if the new role creates a concern. Check any written garden leave direction and how it relates to your contract; it doesn’t automatically cancel or extend a restriction.
Keep copies of your signed contract, addenda, resignation or termination notice, final settlement, and relevant HR emails. If you’re in MOHRE-regulated federal employment, retain your MOHRE-registered employment contract. For a mainland move, changing jobs without an NOC is a separate question from whether a non-compete applies.
If You Are an Employer
Use restrictions for roles with a real client or business-secret risk. Define the competing work narrowly enough that an employee can understand what is prohibited. Record the business reason for the area and duration you choose.
When someone leaves, confirm the termination circumstances before threatening a claim. Preserve evidence of access and damage, and consider whether a written waiver or a narrower agreement would resolve the issue. Employers may instead consider a confidentiality clause or non-solicitation clauses to address specific risks. These restrictive covenants need proper drafting and legal review, and neither alternative is automatically enforceable.

Non-competition clause limits in the UAE
Can My Employer Stop Me Joining Any Competitor?
Not automatically. Under federal rules, the clause must relate to the business interests the law protects and meet the limits on work, geography, and time. Compare it with your actual duties and the new job. Garden leave during employment is distinct from a restriction after employment ends, and its effect depends on the applicable terms and rules.
What Is the Maximum Non-Compete Period?
For employment covered by Article 10, the maximum duration is two years after the contract ends. A shorter period still needs to fit the interest the employer is protecting.
Can an Offer Letter Alone Settle the Issue?
No. Article 10 refers to the employment contract. Check the MOHRE-registered employment contract, signed contract, and addenda in the context of the applicable employment system. If the documents conflict, seek advice based on the complete paperwork.
Can I Pay Three Months’ Salary and Leave?
Only if the former employer agrees in writing to the exemption. Compensation is capped at three months’ wage under the regulatory mechanism, but payment alone isn’t a unilateral way out.
